terms of service To be an authorized affiliate of AdultTurnkeySuperstore.com, you agree to abide by the terms and conditions contained in this agreement. AFFILIATE AGREEMENT ======================== Before you proceed we require that you read, understand and agree by/to the following terms and conditions. The following contains the complete terms and conditions that apply to an individual\s or entity\s participation in the AdultTurnkeySuperstore.com Affiliate Program for now on known as the (\Program\). For the following, \We\ means AdultTurnkeySuperstore.com. \You\ means the affiliate, and \product\ or \products\ mean any items offered for sale. \Site\ means your World Wide Web site or Store URL, and, depending on the context, referring to the www, or to the site that you will link to our program. 1. Enrollment in the Program: ------------------------------------------- After you have read and accepted this agreement, we will then evaluate your application in good faith and will notify you via email of your acceptance or rejection. Any illegal activities such as child pornography, rape, bestiality, child abuse etc. 2. Discrimination based on race, sex, religion, nationality, disability, sexual orientation or age. 3. If your application is not accepted, you will be given an opportunity to re-apply IF and WHEN the above guidelines have been met. 2. Listing of our Program: ------------------------------------------- Any commission payments are for the successful sales of the Adult Turnkey Superstore web package ($359.95) only. We do not pay commissions on any other product offerings on the site. You will place an appropriate link to our product service on your site. The full product/service will be hosted from our server. You will be responsible for any additional content you feel necessary to achieve a presence in the Adult industry. The following content will be provided by AdultTurnkeySuperstore.com. A full featured Adult Product text links, images and banners, fully functional and ready to generate sales. Style and placement of the link are the responsibility of the Associate. You may add or delete links from your site at any time without our approval. You may contact us with any questions or comments regarding the program at contact1@ AdultTurnkeySuperstore.com. This program is FREE to approved applicants. 3. Order Processing: ------------------------------------------- We will process product orders placed by customers who follow the catalog links from your site. We reserve the right to reject any order or orders that do not comply with the requirements that we periodically may establish. We will be responsible for all aspects of order processing, customer service and order fulfillment. INCLUDING: - Payment processing - Cancellations and returns - Online catalog maintenance - Inventory maintenance - Customer service - Affiliate sales tracking 4. Commission Schedule: ------------------------------------------- You will earn a commission based on the Sales Price of each product and total Sales Volume of products that, on the date of order, are listed in our catalog and then processed. Sales Price means the gross amount of each product sold, minus shipping and handling. Sales Volume is determined by the total dollar value of your sales on a monthly basis, from the first day to the last day of each calendar month. Charge backs and returns will be discounted from Sales Volume amounts. 5. Commission Payment: ------------------------------------------- Payment will be paid on a monthly basis. Approximately 10-15 days following the end of each calendar month, we will provide a breakdown of sales and send you a check for the previous month\s sales. 6. Policies and Pricing: ------------------------------------------- Customers who buy products through this Program will be deemed to be customers of AdultTurnkeySuperstore.com; accordingly, all AdultTurnkeySuperstore.com rules, policies and operating procedures concerning customer orders, customer service and product sales will apply to those customers. We may change our policies and operating procedures at any time without notice. For example, we will determine the prices to be charged for products sold under this Program in accordance with our own pricing policies. Product prices and availability may vary from time to time. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular product. 7. For example, you will be solely responsible for: The technical operation of your site and all related equipment. Posting links on your site and linking to our catalog. The accuracy and appropriateness of materials posted on your site. Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, and privacy or other personal or proprietary rights). Ensuring that materials posted on your site are not libelous or otherwise illegal. You agree to hold AdultTurnkeySuperstore.com harmless of any legal action against you based on a violation of any state and or federal laws committed on your behalf. Association will end when terminated by either party. Termination of this Agreement may occur at any time, with or without cause, by giving the other party written notice of termination. 10. Program Modification: ------------------------------------------- We may modify any of the terms and conditions contained in this Program, at any time and in our sole discretion,without further notice. Modifications may include for example changes in the scope of: Commission Schedules, Commission Payment procedures and Program rules. Existing Affiliates may not be notified of any changes prior to them being implemented. Continued involvement in the Program will constitute your acceptance of Program Modifications. 11. Limitation of Liability: ------------------------------------------- We will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to the Program will not exceed the total Commission Payment paid or payable to you under this Program. 12. Disclaimers: ------------------------------------------- We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement or any implied warranties arising out of a course of performance, dealing or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error free, and we will not be liable for the consequences of any interruptions or errors. YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS AND AGREE THERETO.
